| Electronic signatures are signatures applied in electronic form, such as a typed name, a drawn mark or a click recorded by a signing platform. New Zealand law treats an electronic signature as meeting a signing requirement where it identifies the signer, indicates their approval and is reliable enough for the purpose. |
Electronic signatures can meet many New Zealand signing requirements when they identify the signer, indicate approval of the information and are reliable for the purpose. Recipient consent and document-specific rules can also apply. This guide explains what to check, what evidence to keep and how to connect signing to your business systems.

The guide covers what counts as an electronic signature, the legal test, witnessing, the evidence a signing record should hold, filing and retention, Microsoft 365 options, integration, rollout and cost.
What are electronic signatures?
An electronic signature is any signature applied in electronic form, from a typed name at the foot of an email to a signature recorded by a dedicated platform with identity checks. What the electronic signature can show afterwards matters more than how it looks on the page.
The range is deliberately wide. A tick box on a website, a stylus signature on a tablet and a click inside a signing platform can all count. Field and delivery teams may capture a tablet signature against a job in a mobile form at the point the work is done. New Zealand keeps no register of approved methods; the question is whether the chosen method meets the legal test for the document and leaves enough evidence if someone later says they did not agree.
What is the difference between an electronic signature and a digital signature?
A digital signature uses cryptographic techniques to help verify the signed data and detect changes. Electronic signature is the broader term. A typed name, a signing-platform record and the surrounding communications may all be relevant evidence. Choose a method that identifies the signer, records their approval and is reliable for the document and circumstances.
Digital-signature validation can help identify changes after signing. The result depends on the signature format, the validation software and any changes the format permits. Keep the signed original and validate it before converting, combining or otherwise modifying it.
Are electronic signatures legally valid in New Zealand?
Yes, where the test is met. Under section 226 of the Contract and Commercial Law Act 2017, a legal requirement for a signature is met by an electronic signature that adequately identifies the signatory, adequately indicates their approval of the information it relates to, and is as reliable as is appropriate given the purpose and circumstances.
- Identifies the signer. The signature adequately identifies who signed
- Indicates approval. It shows the signer approved the information the signature relates to
- Reliable for the purpose. As reliable as is appropriate for the purpose and circumstances
- Recipient consent. Where information is legally required to be given to a person, that person must consent to receiving an electronic signature
These are the statutory electronic-equivalence rules. Some documents carry their own execution requirements under other law, so check the document as well as the signing method.

What does the reliability presumption add?
Section 228 presumes an electronic signature is reliable where the means of creating it was linked to the signatory and no other person, was under the signatory’s control, and later alterations are detectable. The presumption depends on the actual signing controls and evidence, including the link to the signatory, control of the signing method and detection of relevant alterations. Reliability can also be proved or challenged by other evidence. A signature does not have to meet the presumption to be valid.
Which documents need extra checks?
Schedule 5 of the Act identifies enactments and provisions excluded from the statutory electronic-equivalence rules. It is not a universal list of documents that cannot be signed electronically, and it is not a list of everything that can be. Check the current law for the document, any required execution process and whether the recipient accepts electronic signing. Banks, government agencies and overseas counterparties may have their own requirements.
Can an electronic signature be witnessed?
A witness may sign electronically where section 227 and the relevant document rules permit it. The electronic signature must identify the witness, indicate that witnessing occurred and be appropriately reliable; recipient consent may also be required. Confirm any requirements for presence, witness eligibility and signing order before configuring the workflow. Adding a witness as another recipient does not by itself establish compliant witnessing.
Who in a business can sign a contract?
Whoever the business has authorised, which is a question of delegated authority rather than signing method. A signing platform can make the answer visible by recording the named signer, and approval thresholds can route higher-value agreements to a director. Document owners and advisers decide who has authority; the platform enforces the agreed routing.
What evidence should an electronic signature record keep?
A useful record shows who signed, how they were identified, when each action happened and which version they approved. Platforms differ in what they capture, so treat these as features to verify rather than assume.
- Identity and authentication. The address or number the invitation went to and any access code or identity check used
- Event times. When the document was sent, viewed, signed and completed, with the time zone and time source
- Version signed. The exact document, including every attachment and schedule, linked to the record
- Change detection. How the platform shows whether the document changed after signing
- Exportable evidence. A completion record you can export and read after the subscription ends

Illustrative. Platforms record different things.
Check which events the service records, its time zone and time source, the authentication used, and how the record links to the completed document and attachments. Test that the evidence can be exported and read after the platform subscription ends. A viewing event shows access through the platform; it does not prove the person read or understood every term.
An access code sent to the same mailbox as the invitation adds limited assurance if that mailbox is compromised. Use stronger or separate verification for higher-risk documents. Platform configuration supports your evidence, but it will not resolve every dispute.
How long should signed agreements be kept?
Keep the completed agreement, attachments and signing evidence together under an approved retention schedule. Set each period and its starting event for the document type, taking account of legal duties, disputes and any hold. Tax records generally need to be kept for at least seven tax years. Under information privacy principle 9, personal information should not be kept longer than needed for its lawful purposes, so review and securely dispose of it when those purposes end.
Where should signed contracts be stored?
Store signed contracts in the document system the business already uses, filed against the customer or supplier. A signing platform is somewhere documents pass through, so leaving the only copy inside it makes your archive depend on that subscription.
Many Microsoft 365 business plans include SharePoint, but apps-only subscriptions do not. Check your plan and the licences needed for retention, automation and external access. Our SharePoint intranet service covers the filing structure. Name the destination before go-live and have the platform file the completed document and its evidence together automatically.
Record where each document type goes and who may open it with your other IT documentation. Contracts carry pricing, personal details and commercial terms, so access should match the people who need it. Signing records also hold identity details, which are personal information under the Privacy Act 2020.
Can Microsoft 365 sign documents?
Microsoft offers an eSignature service that works with SharePoint and supported Word workflows, using simple electronic signatures. It needs administrator setup and pay-as-you-go billing linked to an Azure subscription, so signing transactions are not included in an ordinary subscription. External recipients need guest access, which depends on your tenant’s sharing settings.
Adobe Acrobat Sign and Docusign integrations are also available. Compare authentication, document requirements, external-recipient access and filing before choosing a service, and check whether the method suits the documents you sign.
How do electronic signatures connect to your existing systems?
Through templates and integrations, so a document is generated from data the business already holds, sent from the system where the deal lives and written back when it completes. That removes retyping and the errors that come with it.
Many CRM and payroll systems ship with an integration for one or two named signing platforms, so check what your systems support before you shortlist. Where nothing off the shelf fits, signing can be built into a bespoke system through custom software development. Structured invoices exchanged between accounting systems are a separate workflow, covered in our guide to eInvoicing.
Can a signing platform pull data from a CRM?
Yes, where both products support the same integration. The connector maps fields from the record into a template, then writes the completed document and its status back. Ask for the field mapping in writing and test it, because a field that stops populating can produce an agreement with a blank term.
How do you roll out electronic signatures in a small business?
Start with the document you send most, prove the workflow on it, then extend. Document owners and advisers decide authority, execution requirements and retention; the IT work configures the approved process.
Count what you send
List the document types, the volume of each and who has to sign them.
Pick the first documents
Start with one or two high-volume types, such as sales agreements or employment paperwork.
Choose the signing method
Match authentication and evidence to the document risk, with stronger checks for higher-value agreements.
Connect the source system
Build the template from the system that generates the document and write the result back.
Set filing and retention
Name the destination and the retention schedule before the first live document goes out.
Tell customers and suppliers
Explain what is changing and keep an agreed alternative for anyone who cannot sign electronically.
How long does a rollout take?
A first document type can take a few weeks, as an indication only. Timing depends on template approval, supplier access, integration and testing, and on decisions about who signs and where the file lands.
What affects the cost of electronic signatures?
The cost depends on the billing model, the number of senders and documents, identity checks, integrations and filing work. Compare suppliers on the same basis, because a per-envelope charge does not necessarily mean one document or one signer.
| Cost area | What to clarify |
|---|---|
| Billing unit | Per sender, per envelope or per transaction, and what one unit includes |
| Licences | Sender versus signer licences, annual commitments, included sends and overages |
| Identity checks | Access codes or stronger verification, and how they are charged |
| Integration and templates | Connectors, field mapping and template building |
| Filing and retention | Automatic delivery into your document store with retention applied |
Ask for prices in a stated currency with GST treatment, scope and date. Build the business case from your actual document volume, time spent before and after rollout, delivery costs, subscriptions and project fees. Some benefits release staff capacity rather than reduce cash spending, and payback depends on the workflow.

Frequently Asked Questions
Are electronic signatures legally valid in New Zealand?
Yes, where a signature is required, an electronic signature can meet the requirement if it adequately identifies the signer, indicates their approval of the information and is as reliable as is appropriate for the purpose and circumstances. Recipient consent and document-specific rules can also apply.
Do both parties need to agree before a document is signed electronically?
Where information is legally required to be given to a person, section 226(2) requires that person to consent to receiving the electronic signature. Check any additional document rules and record acceptance of the workflow.
Is a typed name at the end of an email a legal signature?
It can be, where it identifies the person, indicates approval and is reliable for the purpose and circumstances. The email context and surrounding evidence matter. A dedicated platform can provide additional evidence, but it is not universally required.
What happens if someone denies signing?
Preserve the signed document, attachments, authentication records and audit trail. These can help establish who acted, which version was approved and whether relevant changes occurred. Their weight depends on the evidence and circumstances, and a completion certificate does not decide the outcome of a dispute.
Can an electronic signature be witnessed?
A witness may sign electronically where section 227 and the relevant document rules permit it. The witness signature must identify the witness, indicate that witnessing occurred and be appropriately reliable, and recipient consent may also be required. Adding a witness as another recipient does not by itself establish compliant witnessing.
Is a scanned copy of a handwritten signature an electronic signature?
An image of a handwritten signature can be an electronic signature. Because an image can be copied from one document to another, it needs supporting evidence of who applied it and when. A signing platform record or surrounding correspondence can provide that.
Can employment agreements be signed electronically?
Generally yes, where the signature meets the section 226 test and any requirements for that document are met. Keep the signed agreement and its evidence together under your retention schedule, because questions can arise after the person has left.
Does Microsoft 365 include electronic signing?
Microsoft offers an eSignature service that works with SharePoint and supported Word workflows. It requires administrator setup and pay-as-you-go billing linked to Azure, so check transaction charges and your tenant configuration. Adobe Acrobat Sign and Docusign integrations are also available.
Is a free signing tool good enough for a business?
A free or bundled tool can suit a low-volume workflow if its authentication, audit records, export, privacy and document controls meet your requirements. Check the actual plan limits and evidence before relying on it. Pay for stronger controls or integrations where the document risk requires them.
What is the first step before choosing a signing platform?
List the document types the business sends for signature, the volume of each and who has to sign them. That shows which billing model fits, which integrations matter and which documents need stronger identity checks.
